Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the practice you represent ("you," "your," or "Customer") and AutoArch ("AutoArch," "we," "us," or "our"), governing your access to and use of the AutoArch website, application, and services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
AutoArch is an automated software tool that processes intraoral scan files you upload and produces finished, print-ready 3D model files (for example, oriented, trimmed, based, and labeled study or working models). The Service is a software utility only. It does not provide medical, dental, or clinical advice, does not exercise clinical judgment, and is not a substitute for the professional review of a licensed clinician.
2. Eligibility and Accounts
You must be at least 18 years old and authorized to enter into these Terms on behalf of your practice. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use. One account represents one practice; you may not share accounts across unrelated organizations.
3. Subscriptions, Fees, Trials, and Cancellation
Paid access is offered on a subscription basis, with pricing and any free trial shown at sign-up and on the billing page. Payments are processed by our third-party payment processor (Stripe); we do not store your full card details. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time through the billing portal; cancellation stops future renewals and takes effect at the end of the current period. Except where required by law, fees already paid are non-refundable. We may change prices on prospective notice.
4. Your Content and Patient Data
"Customer Content" means the scan files, patient names or labels, and other data you upload or generate through the Service. As between you and AutoArch, you own your Customer Content. You grant us a limited license to host, process, and transmit it solely to provide the Service to you.
You represent and warrant that you have all rights, permissions, and patient consents necessary to upload Customer Content and to have it processed by the Service, and that doing so does not violate any law or third-party right. You are solely responsible for your compliance with all laws applicable to your handling of patient information, including obtaining any required consents. You are responsible for the patient names and labels you choose to include; we recommend using the minimum identifying information necessary. Customer Content and case files are retained and then automatically deleted according to the retention period configured in your account settings, as further described in the Privacy Policy.
5. Professional Responsibility — Review Before Clinical Use
Output models are generated automatically and are provided as drafts. You must independently review, verify, and approve every output before any clinical, diagnostic, laboratory, or printing use. You are responsible for confirming that a model is accurate, complete, and fit for its intended purpose. AutoArch is not a medical device and is not intended to diagnose, treat, cure, or prevent any condition. Do not rely on the Service as the sole basis for any clinical decision.
6. Acceptable Use
You agree not to: (a) upload content you lack the right to upload, or that is unlawful or malicious; (b) attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure; (c) use the Service to build a competing product, or resell it without our written consent; (d) circumvent usage, rate, or storage limits; or (e) use the Service in violation of any applicable law. We may suspend accounts that we reasonably believe violate these Terms or threaten the Service.
7. Intellectual Property
AutoArch and all software, models, algorithms, and content that make up the Service (excluding Customer Content) are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We do not use your Customer Content to train our models.
8. Third-Party Services
The Service relies on third parties, including our payment processor, hosting provider, content-delivery/security provider, and email provider. Your use of the Service may be subject to their terms, and we are not responsible for their acts or omissions.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOARCH AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR CLINICAL/BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You will defend, indemnify, and hold harmless AutoArch from and against any claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including any claim relating to patient information you uploaded.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms or if required to protect the Service or comply with law. On termination, your right to use the Service ends and your Customer Content is deleted in the ordinary course of our retention and deletion processes.
13. Changes
We may modify the Service or these Terms. If we make material changes to the Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and AutoArch agree to submit to the exclusive jurisdiction of the state and federal courts located there for any dispute not subject to a separate agreement to arbitrate.
